Merchant Terms

Last updated 26 August 2026

1. About these terms

These Merchant Terms (the “Terms”) govern your listing and selling of products on the Diroute marketplace (the “Marketplace”), operated by Cyrock Capital LLC FZ (“Diroute”, “we”, “us”, “our”). By onboarding as a merchant (“Seller”, “you”) and listing products, you agree to these Terms. They sit alongside the buyer-facing Terms & Conditions and are the seller-side mirror of them.

2. Eligibility and onboarding

To sell on the Marketplace you must be a business, provide accurate registration, contact, and payout details, and hold any licences and permissions your products require. We may verify the information you give us and may decline or unwind onboarding where it is incomplete, inaccurate, or fails our checks. You are responsible for keeping your account details current.

3. Listing accuracy and content

You are responsible for the accuracy of your listings — including titles, descriptions, images, specifications, price, availability, and delivery terms. Your content must be truthful, lawful, and non-infringing, and must not mislead buyers. Where shared catalogue data or imagery is provided, you remain responsible for confirming it correctly describes the item you will ship. We may edit, suspend, or remove listings that breach these Terms or applicable law.

4. You are the merchant of record

For every sale you make on the Marketplace, you — not Diroute — are the merchant of record and the seller of the goods. You are responsible for stock, dispatch, fulfilment, delivery, and the physical return of goods, and for meeting buyers’ statutory rights. Diroute provides the venue, catalogue, checkout, and payment handling; it is not a party to the sale contract between you and the buyer.

5. Pricing and the buy box

Every product has a single page on which multiple Sellers may compete for the same item. You set your own price and delivery terms. Where more than one Seller offers a product, the Marketplace may feature one offer as the default (the “buy box”) based on factors such as price, availability, and performance, while still letting buyers view and choose other Sellers’ offers. We do not guarantee buy box placement or any level of sales.

6. Payment collection and commission

Diroute acts as your disclosed collection agent. When a buyer checks out, we take the buyer’s payment on your behalf through the N-Genius payment gateway. Collecting payment as your agent does not make Diroute the seller of the goods.

For providing the Marketplace we charge you a commission on each sale. The commission is a flat rate of 10% of the order value by default, and is Diroute’s own revenue. Any rate agreed with you in writing at onboarding, or notified to you in advance, applies in place of the default. We may change the commission on reasonable prior notice.

7. Settlement and payouts

We settle to you the amounts we collect on your behalf for completed orders, less our commission and any refunds, chargebacks, adjustments, or amounts we are required to withhold. Payouts are made to the bank details on your account on our standard settlement cycle. You are responsible for your own taxes on your sales, and for issuing any tax documents your buyers or the law require of you as merchant of record.

8. Prohibited and restricted goods

You may not list or sell anything that is unlawful, unsafe, counterfeit, stolen, or that infringes another party’s rights, or that breaches our published category or content standards. Restricted goods — such as those needing a licence, age verification, or special handling — may be sold only where you meet every legal requirement that applies to them.

9. Compliance and suspension

You must comply with these Terms, our seller policies, and all laws that apply to your business and products. Where you breach them, or where we reasonably suspect fraud, safety, or legal risk, we may set your account status to suspended, which hides your offers from buyers while the matter is reviewed. We may also withhold settlement, remove listings, or require corrective action. We aim to act proportionately and, where practicable, to tell you why.

10. Liability

As merchant of record, you are responsible for your goods and your fulfilment, and you indemnify Diroute against claims arising from your listings, products, or acts and omissions. To the fullest extent permitted by law, Diroute is not liable to you for indirect or consequential loss, or for loss of profits or sales, and our aggregate liability to you is limited to the commission we earned on the transactions giving rise to the claim. Nothing in these Terms limits liability that cannot lawfully be limited.

11. Term and termination

These Terms apply for as long as you hold a Seller account. Either party may end the arrangement on reasonable notice. We may suspend or terminate your account immediately for a serious or repeated breach, for legal or safety reasons, or where required by a payment or regulatory partner. On termination you remain responsible for completing or resolving open orders, and settlement is completed net of any amounts owed to us or to buyers.

12. Governing law

These Terms are governed by the laws of the United Arab Emirates, and the courts of Dubai, UAE, have jurisdiction over any dispute arising from them.
